Payment for services is due upon receipt of the invoice unless otherwise agreed upon. All payments are non-refundable once the service has commenced. soire.studio reserves the right to suspend work if payment is not received as agreed.
4. Intellectual Property
All content, designs, and code created by soire.studio are the intellectual property of soire.studio until full payment has been received. Upon full payment, ownership of the work will transfer to the client.
5. Client Responsibilities
Clients are responsible for providing accurate information and content in a timely manner. Any delays caused by the client may result in an extension of the project timeline.
6. Limitation of Liability and Security
soire.studio is committed to delivering a secure website and takes proactive measures to protect your site from vulnerabilities and unauthorized access. We utilize best practices in web security to minimize risks and ensure the safety of your site. However, the client acknowledges and agrees that:
- Disclaimer of Warranties: While we strive to make your website as secure as possible, soire.studio cannot guarantee that the website will be entirely free from vulnerabilities or immune to all potential security threats. We cannot guarantee the continuous operation or absolute security of the website.
- Responsibility of Client: We strongly encourage our clients to take an active role in maintaining their website’s security. This includes safeguarding login credentials, performing regular updates, and choosing secure hosting environments. Clients are also responsible for implementing and maintaining any additional security measures they deem necessary.
- Limitation of Liability: soire.studio will not be liable for any indirect, special, incidental, or consequential damages arising from the use of our services, including but not limited to security breaches. Our liability is limited to the amount paid for the specific service provided.
In the event of a security breach, soire.studio will work diligently to assist in mitigating the impact and restoring the site, but we cannot be held liable for any damages or losses that may result from such incidents.
7. Termination of Services
Either party may terminate the service agreement with written notice. Upon termination, the client is responsible for any work completed up to the date of termination.
8. Changes to Terms
soire.studio reserves the right to update these Terms of Service at any time. Continued use of our services after any changes constitutes acceptance of the new terms.
9. Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of California, USA.
